| GoSolutions (GoSolo) Marketing Partner Guidelines
1. Marketing Program. Client may, but is not required
to, undertake marketing initiatives in cooperation with GSI to increase
brand awareness and support GSI sales efforts associated with referred
accounts. In the event Client elects to undertake a marketing initiative,
Client shall create a marketing program (each, a “Program”)
and submit same in written or electronic form to GSI for prior approval.
The Program will address several points, including, without limitation,
the term of the Program, the metrics for measuring the success of
initiatives under the Program, and a proposed media plan outlining
the promotion of the Service through Client’s channel partners
and various media (e.g., newsprint, magazines, television, special
events, corporate intranet sites, and training programs). Client acknowledges
it is responsible for the implementation and success of the Program
and shall bear all expenses associated therewith. Accordingly, Client
hereby agrees to commit sufficient staffing resources, including,
without limitation, project management, marketing, and IT resources
to reasonably assure the timely and complete execution of Program
objectives. In connection therewith, Client shall submit all collateral
materials, including, but not limited to, HTML content, E-Mail advertising,
PowerPoint presentations, printed flyers, and brochures for prior
approval (including a sample and Program for intended use). All Collateral
Materials must conform to GSI’s trademark usage and branding
guidelines as well as marketing policies. Client may only implement
the Program upon the receipt of GSI’s prior written approval.
GSI may, in its sole discretion, approve or disapprove any Program.
GSI may, in its sole discretion, cancel, amend or suspend at any time,
and for any reason, any Program. Client acknowledges that GSI’s
decision to take any of the actions enumerated above shall not give
rise to any liability whatsoever to Client, including without limitation,
liability for any payment which might otherwise have been due Client
had such an action not been taken.
2. Marketing Policies. Unless otherwise agreed in
writing by the Parties, Client’s Program must adhere to the
following GSI policies:
2.1 E-Mail:
2.1.1 All Programs employing e-mail campaigns must comply with the
Controlling the Assault of Non-Solicited Pornography and Marketing
Act of 2003, or the “CAN-SPAM Act of 2003”;
2.1.2 Mailing lists employed in e-mail campaigns must be derived
solely from opt-in sources;
2.2 Search Engines:
2.2.1 Bidding on any trademark or trade name owned or used by the
GSI or a Third Party is prohibited;
2.2.2 Using any trademark or trade name owned or used by the GSI
or a third party as content, title or description “meta-tag”
terms within a website included in any marketing campaign is prohibited;
2.2.3 Registering any web page for search reference other than GoSolo.com
for the purpose of marketing GSI Services is prohibited;
2.2.4 Duplicating or spoofing the GoSolo.com website and hosting
it as a separate site is prohibited;
2.2.5 All paid search ads must comply with the Terms and Conditions
of the search engine in use;
2.3 Content & Claims:
2.3.1 All collateral must be approved by GSI prior to use, with the
exception of GSI supplied collateral;
2.3.2 All statements must comply with Federal Trade Commission, Truth-in-Advertising
Rules;
2.3.3 GSI reserves the right to deny and/or cancel program participation
based on objectionable web site content;
2.4 Telemarketing:
2.4.1 Telemarketing campaigns are prohibited unless authorized by
GSI.
